Terms of Service

1) Acceptance of terms

By accessing, registering for, or using the SellGram platform or services (collectively, "the Service"), operated by Sellgram (OPC) Private Limited ("we," "us," or "our"), you ("Creator," "User," or "you") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

These Terms apply to every product. Sections 6–9 add terms for a specific product and apply only when you use that product.

2) What SellGram is

SellGram is a platform operated by Sellgram (OPC) Private Limited that gives creators and businesses these products under one account:

• Telegram Memberships — sell paid subscriptions, one-time access passes, bundles and digital products for Telegram channels and groups.
• Link in Bio — a free public page for your links, socials, media and products.
• Instagram AutoDM — automatic replies and direct messages on your Instagram professional account, sent through the official Instagram API.

We provide the tools; you provide the content and the audience.

3) Eligibility

To use SellGram, you must have the legal capacity to enter into this agreement under the laws that apply to you. By using the Service, you represent that the information you provide is accurate and truthful, and that you will use the platform in compliance with applicable law and the terms of every third-party platform you connect — including Telegram's Terms of Service and Instagram's Terms of Use.

4) Account registration and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity on any Telegram or Instagram account you connect. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that show signs of fraud, abuse, or policy violations.

5) Creator responsibilities

As a creator using SellGram, you agree to:

• Own or have the rights to all content you sell, publish, link to or send.
• Comply with the rules of the platforms you connect, including Telegram's Terms of Service and Community Guidelines and Instagram's Terms of Use and Community Guidelines.
• Comply with all applicable local, national, and international laws — including tax, consumer protection, advertising, and data protection laws.
• Accurately describe your offerings, pricing, and what buyers will receive.
• Honor the promises, refund terms, and access durations you advertise.
• Respond to reasonable subscriber and customer inquiries and complaints.

6) Telegram Memberships — payments, fees, and payouts

Payments from subscribers are processed through a third-party payment aggregator that supports methods such as UPI, cards, netbanking, and wallets. We may change our payment provider from time to time. By using SellGram, you also agree to the terms of the applicable payment processor.

Sellgram (OPC) Private Limited charges a flat 10% commission on each sale, as shown on our pricing page. This 10% is all-inclusive — GST and payment gateway charges are already covered within it, and nothing further is deducted from your earnings on that account. There are no monthly fees and no setup costs. Payouts are released to your linked account according to the schedule stated in your dashboard, subject to fraud checks and gateway settlement times.

The 10% commission covers GST and gateway charges on the platform fee itself. You remain responsible for reporting and paying your own income and other applicable taxes on your earnings. Sellgram (OPC) Private Limited may issue tax-related documents where legally required.

7) Telegram Memberships — refunds and chargebacks

You are responsible for setting a clear refund policy and displaying it to your subscribers. You must honor any refund obligations under applicable consumer protection law, even if they go beyond your stated policy.

Chargebacks initiated by subscribers through their bank or card issuer may be deducted from your balance, along with any associated fees. Excessive chargebacks may result in account suspension.

8) Link in Bio

• Link in Bio is free. The 10% commission applies only when someone buys a SellGram channel, product or bundle from your page. UPI tips go directly to your UPI ID and are not processed by us.
• Your page is public. You are responsible for everything on it, including the links, products, affiliate links and embeds you add and the sites they lead to.
• Handles are first come, first served. We may reclaim a handle that impersonates a person or brand, infringes a trademark, or is inactive and needed to resolve a dispute.
• We may unpublish a page or remove a block that breaks these Terms, links to malware, phishing or prohibited content, or misleads visitors.

9) Instagram AutoDM

a) The service

Instagram AutoDM sends the replies and direct messages you set up from the Instagram Business or Creator account you connect, using the official Instagram API provided by Meta Platforms, Inc. By connecting an account, you confirm you are authorized to manage it and you allow us to read its profile, posts and stories, manage its comments, and send and receive its messages for the automations you create.

b) Plans and billing

• Monthly: ₹49 for your first month, then ₹299 per month. The introductory price is available once per SellGram account.
• Yearly: ₹2,799 for 12 months.
• Plans are recurring subscriptions billed through Cashfree Subscriptions. When you subscribe you approve a UPI Autopay, card or bank (eNACH) mandate; the first payment is taken when you approve it, and the plan then renews automatically every month or year at the price shown until you cancel.
• You are notified before each renewal charge. You can cancel anytime from Instagram AutoDM → Plan & billing; no further charges are made, and AutoDM stays on until the end of the period you already paid for.
• If a renewal payment fails, Cashfree may retry it for a few days. AutoDM keeps running during that time and pauses if the payment still fails.
• AutoDM is a flat plan. No commission is taken on anything you sell through your messages. SellGram's one-time payments for Telegram memberships are separate and are never charged through this mandate.
• We may change plan prices with advance notice. A change applies from your next period, never to one you have already paid for.
• Refunds for AutoDM plans follow the Refund Policy.

c) Your responsibilities

• Follow Instagram's Terms of Use, Community Guidelines and Meta's Platform Terms and messaging policies.
• You are responsible for the text, links and buttons in your automations. Do not send spam, misleading offers, prohibited products, malware or phishing links, or anything listed in section 10.
• Do not use AutoDM to ask for passwords, card numbers, government IDs or other sensitive personal data.
• AutoDM only replies to people who contacted you first. The automated-message notice and the STOP / START opt-out are part of the service and may not be removed or worked around.

d) What Instagram controls

Instagram decides what its API allows. Among other limits, a comment can receive one private reply within 7 days, messages can only be sent within Instagram's messaging window, sending is rate-limited, and people's own message settings may block delivery. Meta may change, limit or withdraw API access at any time. We therefore do not guarantee that every message is delivered, and we are not responsible for actions Instagram or Meta takes on your account.

e) Disconnecting and suspension

You can disconnect your Instagram account at any time from the AutoDM dashboard, which stops its automations and ends our access to it; its AutoDM data is kept so you can connect it again, and is deleted on request as described in our Data Deletion page. Disconnecting does not extend or refund a paid period. We may pause or suspend AutoDM on an account that breaks these Terms, receives complaints of abuse, or that Meta asks us to stop serving.

10) Prohibited use

You may not use SellGram to create, sell, promote, send, or distribute:

• Illegal content, pirated material, or anything that infringes intellectual property.
• Sexually explicit material involving minors, non-consensual content, or any content prohibited by law.
• Scams, pyramid or Ponzi schemes, fake investment signals, guaranteed-return promises, or fraudulent services.
• Content promoting hate, violence, terrorism, or self-harm.
• Unregulated financial, medical, or legal advice presented as professional guidance.
• Malware, phishing links, or any content intended to harm users or systems.
• Spam, unsolicited bulk messages, or messages meant to harass or deceive people.

You also may not: impersonate others, bypass access controls or platform limits, scrape or reverse-engineer the platform, abuse APIs, or take any action that endangers our relationships with payment partners, Telegram, or Meta.

11) Intellectual property

SellGram, including its branding, design, code, and written content, is owned by Sellgram (OPC) Private Limited and protected by applicable IP laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of your own content; by uploading or configuring it, you grant Sellgram (OPC) Private Limited a limited license to host, display, and deliver it — to your paying subscribers, your Link in Bio visitors, or the people your automations reply to — as needed to operate the Service.

12) Service availability and changes

We aim for high reliability, but we do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages (including Telegram, Instagram, Meta, and payment gateways), security incidents, or force-majeure events may disrupt access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where feasible.

13) Suspension and termination

We may suspend or terminate your account, or access to a single product, if you violate these Terms, harm other users, expose us to legal or financial risk, or engage in fraudulent activity. You may stop using SellGram at any time by closing your account. Upon termination, outstanding payouts will be processed subject to fraud and compliance checks.

14) Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific income, subscriber or follower growth, message delivery, or business result. See our Disclaimer for more.

15) Limitation of liability

To the maximum extent permitted by law, Sellgram (OPC) Private Limited and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages — including loss of revenue, subscribers, followers, data, or goodwill — arising from your use of or inability to use the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the fees (commission and plan fees) you paid to Sellgram (OPC) Private Limited in the three (3) months preceding the event giving rise to the claim.

16) Indemnification

You agree to indemnify and hold harmless Sellgram (OPC) Private Limited, its directors, officers, employees, and partners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your messages, your use of the Service, or your violation of these Terms or any applicable law.

17) Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of that jurisdiction, unless applicable consumer law requires otherwise.

18) Changes to these terms

We may update these Terms from time to time. If changes are material, we will notify you via the dashboard or email. Continued use of the Service after changes become effective means you accept the revised Terms.
